vSphere5 - host failover clarrification

I was watching a web conference this morning that touched on the new licensing structure for vSphere5.

What I hope to have clarrified is that though there is now the notion of vRAM in the licensing model, all hosts will need to have CPU licenses even if they are in maintenance mode?  So if I have two servers with 2 CPUs each, I will need 4 licenses if I want to have redundancy for host failover.

Also, how does this effects practises such as overallocating ram?
