I have two questions.
1. Would there be any issue, if I decommision an ESX 3.0 host to free up a license for ESX 3.5 host?
2. Can ESX 3.5 and ESX 3.0 hosts coexist on 2.5 Virtual Center Server?

1. Would there be any issue, if I decommision an ESX 3.0 host to free up a license for ESX 3.5 host?
this is a perfectly valid use for VI3 licenses.
2. Can ESX 3.5 and ESX 3.0 hosts coexist on 2.5 Virtual Center Server?
ESX 3.x.x and 3.5 hosts can co-exist on vCenter 2.5 just remember to have the vCenter instance the same or higher update level than the highest level ESX host. you will have no issue if you upgrade VMtools. and also 3.x and 3.x.x share the same virtual hardware. you are more likely to get issues with vMotion regarding CPU incompatibility than anything else

2. Yes. If you are planning to migrate VMs from 3.0 to 3.5 hosts and back, do not upgrade VMware tools.
