Just in case this hadn't been mentioned... I haven't been able to get the VI Toolkit to work on 64-bit Windows Server with the corresponding version of PowerShell.
The message that initially appears, indicating to change the execution policy, but after doing this, the installer still complains.

I think your problem is actually because there are two instances of Powershell installed on x64 machines. You need to register the VMWare tools with x64 framework. You will then be able to add it to Powershell.
Alternatively you can just use the Powershell x86 to run the cmdlets.
Currently VI Toolkit is installed on 64 bit Windows as 32 bit PowerShell application. Then you have 2 items in start menu for starting PowerShell, open theone ending with x86 (if remember correctly), and there execute 'SetExecutionPolicy -RemoteSigned'. This will trigger desired effect
