Question is the definition of VM:
1. if VM is powered off/suspended, still counted for license?
2. is vSE VM counted for license?
3. is VM in vApp Template counted? obviously it's shutdown.

My understanding is that for VCD it's basically VMs that are consuming computational resources (e.g. deployed & powered on) and that service VMs (such as vSE) are not counted, but you may want to confirm with your account manager to be sure.
