I have ESXi5 running on real hardware with static IP 192.168.2.20
There are two VMs vCenter Server at IP 192.168.2.21 and ESXi4 also with static IP 192.168.2.10
The ESXi4 VM has only one VM with OS WIndows XP. Again static IP 192.168.2.12
I can access and manage both hosts ESXi5 and ESXi4 with vClient.
Using the console on ESXi4 I can log in to the Windows XP vm
From that vm I can ping the ESXi4 host but I can get no further out to ESXi5 or to my network.
I only have one physical network adaptor - on ESXi5 the onserved IP range is 0.0.0.1-255.255.255.254 whereas on ESXi4 VM it is 10.1.1.4 - 10.1.1.4

I believe you are going to need to set Promiscuous Mode to Accept on the vSwitch and Port Group that is configured on the physical ESXi 5 host for this to work.
Host -> Configuration -> Networking -> Properties of vSwitch
Edit the vSwitch and on the Security tab set Promisuous mode to Accept.

Thanks a lot. I had really stalled on this as I had Promiscuous Mode on inner (ESXi4)switch but not outer (ESXi5).
